Chair of the Board The Chair of the Board is responsible for ensuring overall Board effectiveness and for creating and embedding the right governance framework within the Board. Specific responsibilities include: • Effective running of the Board including setting the agenda and ensuring that the Board plays an active and constructive role in the approval of the Group’s strategy. • Ensuring an appropriate balance is maintained between Executive, independent, and Non‑Executive Directors with the skills, experience and expertise needed to provide guidance, challenge and oversight to the Board. • Ensuring there is effective engagement and communication with senior representatives of the Group’s key stakeholders and wider network within the industry. • Promoting and maintaining high standards

Chief Executive Officer The CEO is accountable to the Chair and the Board for the implementation of the Group’s strategy and overall objectives, the execution of the Group’s acquisition strategy, and for providing timely, accurate and clear information and insights regarding the Group’s performance. Specific responsibilities include: • Developing the Group’s objectives and strategy for approval by the Board and with regard for the Group’s shareholders, clients, employees and other stakeholders. • The successful achievement of objectives and execution of the Group’s strategy. • Managing the Group’s risk profile in accordance with its risk appetite and ensuring that effective internal controls are followed. • Leading the Executive Leadership Team and executive management on matters affecting the Group. • Promoting and conducting the affairs of the Group with high standards of corporate governance and integrity that align with the Group’s values and culture. • Advising and making recommendations in respect of management succession planning. • Ensuring open, honest and transparent dialogue between the Board and the Executive Leadership Team. • Leading and sponsoring the development and implementation of robust governance policies.

Chief Financial Officer The CFO is responsible for implementing the Group’s financial strategy. Specific responsibilities include: • Supporting the CEO in the delivery of the Company’s strategy and financial performance. • Implementing the Group’s financial strategy, including balance sheet management and capital allocation. • Managing the Group’s treasury requirements and engaging with the Group’s lenders. • Developing, reviewing and enhancing the Group’s internal controls environment. • Overseeing all financial reporting and managing performance against key financial metrics. • Leading the Finance Leadership Team and executive management on matters involving the Finance and Tax function. • Chairing the Group Risk Committee.

Chief Operating Officers The Board also comprises two COOs, Adrian O’Sullivan and Neil O’Hara, who collectively have over 60 years of experience in the sectors in which the Group operates. They provide strategic and operational leadership, drive and direction to the Group. Adrian O’Sullivan leads the OCU Utilities business unit and Neil O’Hara leads the OCU Energy business unit.
